Terms of Service

1. Acceptance of Terms
By accessing or using Shabe SaaS ("Service"), operated by Shabe AI Corp ("Shabe," "we," "our," or "us"), you agree to be bound by these Terms of Service and all applicable laws and regulations.
If you do not agree with any part of these terms, you may not access or use the Service. Your continued use of the Service constitutes acceptance of any changes to these terms.
2. Description of Service
Shabe SaaS is the new UI for SaaS—an AI-powered read-only query interface that provides:
- Natural language queries for CRM data (contacts, accounts, deals, activities) - read-only access
- Machine learning-powered insights and analysis
- Read-only integrations with HubSpot, Salesforce, legacysocial, Slack, Gmail, and Google Calendar
- Forecasting and reporting based on your connected data
- Team collaboration and role-based access controls
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration & Security
To use the Service, you must:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Be at least 18 years of age and have the legal capacity to enter into contracts
- Represent a legitimate business entity (for business accounts)
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities that occur under your account
- Comply with all applicable laws and regulations
You may not share your account credentials, create multiple accounts, or allow others to use your account. We reserve the right to suspend or terminate accounts that violate these terms.
4. Subscription Plans & Billing
4.1 Subscription Plans
Shabe SaaS offers the following subscription plans:
- Shabe SaaS ($250/month): The new UI for SaaS with multi-CRM support (HubSpot, Salesforce), legacysocial analytics, team collaboration (5 seats), advanced analytics, voice mode, and priority support
- Shabe Enterprise (Custom pricing): Custom integrations, dedicated support, SLA guarantees, and advanced security
4.2 Free Trial
We offer a 7-day free trial for new customers. Your credit card will not be charged during the trial period. After the trial, your subscription will automatically convert to a paid plan unless you cancel.
4.3 Billing
- Subscriptions are billed monthly in advance
- All fees are in USD and non-refundable except as required by law
- You authorize us to charge your payment method on file
- Failed payments may result in service suspension
- We may change pricing with 30 days' notice
- Taxes are your responsibility where applicable
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until then. No refunds are provided for partial months.
5. Acceptable Use Policy
You agree NOT to use the Service to:
- Violate any laws, regulations, or third-party rights
- Upload viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble the Service
- Use the Service for competitive intelligence or benchmarking
- Scrape, spider, or crawl the Service
- Spam, harass, or send unsolicited communications
- Store or transmit illegal, defamatory, or infringing content
- Impersonate others or provide false information
- Interfere with or disrupt the Service or servers
- Use the Service for any unlawful or fraudulent purpose
- Resell or redistribute the Service without authorization
Violation of this policy may result in immediate suspension or termination of your account.
6. Data Ownership & Intellectual Property
6.1 Your Data
You retain all ownership rights to your data. Shabe is a read-only query interface—we do not store your CRM data, emails, calendar events, or other data from connected services. We only store your conversation history (queries and responses) to provide context-aware responses. You grant us a limited license to use your conversation data solely to provide and improve the Service.
6.2 Our Intellectual Property
The Service, including all software, algorithms, ML models, designs, text, graphics, and other content, is owned by Shabe AI and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you. You grant us a perpetual, irrevocable, worldwide license to use such feedback.
7. AI & Machine Learning
Shabe uses AI and machine learning to power its features:
- AI-generated responses and predictions are provided "as is" and may contain errors
- You should verify important information before relying on AI outputs
- We use aggregated, anonymized conversation patterns to improve our service
- We partner with OpenAI for natural language processing (subject to OpenAI's terms)
- AI features are subject to availability and may change over time
You acknowledge that AI systems are not perfect and should be used as a tool to augment human decision-making, not replace it.
8. Third-Party Integrations
Shabe SaaS provides read-only integrations with third-party services (HubSpot, Salesforce, legacysocial, Slack, Gmail, and Google Calendar). By connecting these services:
- You grant Shabe permission to read your data from these platforms to answer your queries
- We do not store, sync, or modify your data from connected services—we only query it in real-time
- You agree to comply with each platform's terms of service
- You understand that integration features depend on third-party API availability
- We are not responsible for issues caused by third-party services
- You can disconnect integrations at any time through your settings
9. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Merchantability, fitness for a particular purpose, and non-infringement
- Uninterrupted, timely, secure, or error-free operation
- Accuracy, reliability, or completeness of any content or data
- That defects will be corrected
- That the Service is free from viruses or harmful components
Some jurisdictions do not allow exclusion of implied warranties, so some of the above may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHABE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.
Our total liability for any claims arising from these terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow limitation of liability for certain damages, so this limitation may not fully apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Shabe AI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Customer Data or content
- Any negligent or wrongful conduct by you or your team members
12. Termination
12.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support. Termination takes effect at the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- Your payment fails or account is past due
- We reasonably believe your use poses a security risk
- You engage in fraudulent or illegal activity
- We discontinue the Service (with reasonable notice)
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your conversation history and account data within 90 days unless legally required to retain it. You may request a data export within 30 days of termination.
13. Dispute Resolution & Governing Law
13.1 Informal Resolution
Before filing a claim, you agree to contact us at info@shabe.ai to attempt to resolve the dispute informally for at least 30 days.
13.2 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration will be conducted in Delaware, USA, and the arbitrator's decision will be final and binding.
13.3 Class Action Waiver
You agree that any arbitration or proceeding shall be conducted on an individual basis, not as a class action, and you waive your right to participate in a class action lawsuit or class-wide arbitration.
13.4 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
14. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Shabe AI regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- No Waiver: Our failure to enforce any right or provision shall not be deemed a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them without restriction.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
- Notices: Notices to you may be sent via email or through the Service. Notice to us should be sent to info@shabe.ai.
- Survival: Provisions that by their nature should survive termination will survive (including indemnification, limitation of liability, dispute resolution).
15. Changes to These Terms
We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before they take effect. Your continued use after changes constitutes acceptance. If you don't agree with changes, you must stop using the Service and cancel your account.
